The Securities and Exchange Commission (SEC) is giving corporations, partnerships, and individuals under its supervision until August 31 to designate and submit their official email addresses and mobile phone numbers.
In a notice issued on July 15, the Commission announced the further extension of the deadline for the submission of the requirement under SEC Memorandum Circular No. 28, Series of 2020 (MC 28).
Stock and Non-Stock Corporations, One Person Corporations, and partnerships registered with the SEC may download the MC28 compliance forms referred to as Annex D-G from the SEC website and submit them through email at MC28_S2020@sec.gov.ph.
The Commission may impose a penalty of P10,000 on corporations, partnerships and individuals under its supervision for their failure to comply with the memorandum circular by August 31.
The email addresses and mobile phone numbers shall be under the control of the corporate secretary, the person charged with the administration and management of the corporation sole, the resident agent of the foreign corporation, the managing partners, the individual, or the duly authorized representative.
Registered corporations, partnerships or individuals who are unable to create email
accounts due to lack of internet connection in their principal office addresses may only submit their official and alternate mobile phone numbers to comply with MC 28 initially.
Moving forward, the email addresses and mobile phone numbers indicated in their MC28 compliance forms shall be included in the General Information Sheet (GIS) or Notification Update Form regularly filed with the Commission.
Newly registered corporations, meanwhile, must designate and submit their official and alternate email addresses and mobile phone numbers within 30 days from the issuance of their certificates of registration, license or authority.
The SEC requires corporations, partnerships, and individuals under its jurisdiction to
designate their official email addresses and mobile phone numbers, as well as alternate email addresses and mobile phone numbers, to facilitate the faster transmission of official communications and online transactions.
Corporations, partnerships and individuals registered with the SEC may receive from or file with the Commission orders, decisions, notices, requests, pleadings and other documents through email using their official and alternate email addresses and mobile phone numbers.
The SEC may likewise require the designated official and alternate email addresses and mobile phone numbers in online transactions such as the submission of financial statements, the GIS and other annual reports through the Online Submission Tool (OST).
